APPOINTMENTS TO THE COMPANIES AND SECURITIES ADVISORY COMMITTEE

The Treasurer, the Hon Peter Costello, MP, today announced the appointment or

re-appointment of nine members of the Companies and Securities Advisory Committee (CASAC).

CASAC is established under the Australian Securities and Investments Commission Act

1989 to advise the Government on matters relating to the amendment, administration or

reform of the Corporations Law, companies, and the securities and futures industries.

Among the issues considered by CASAC to date are corporate financial transactions,

enhanced statutory disclosure, prospectus law reform, statutory derivative actions,

collective investments, compulsory acquisitions and the regulation of derivatives.

Members of CASAC are appointed on a part-time basis for terms of up to three years

based on their knowledge of or experience in business, the administration of companies,

the financial markets, law, economics or accounting. They are selected from panels of

names put forward by the States and Territories.

  • Mr Richard St John has been re-appointed as the Convenor of CASAC, and

    Professor Philip Brown, Ms Patricia Cross, Mr Peter Griffin,

    Mr Gregory Hancock, Mr Robert Hudson and Mr John Maslen have been

    re-appointed as members of CASAC, each for a two year term.

  • The new members appointed to the Committee, each for a three year term, are

    Ms Merran Kelsall and Mrs Marian Micalizzi.

The current affiliations of each of these members are shown in an attachment. Other

members of the Committee are Mr Reginald Barrett, Mr Alan Cameron, AM,

Mr Leigh Hall and Ms Nicki Hutley.

The Treasurer also announced the re-appointment of Associate Professor Jennifer Hill

and Mr Peter James as members of CASAC’s Legal Sub-Committee, each for a two

year term. The Legal Sub-Committee mainly comprises senior corporate lawyers and provides

advice on all matters coming before CASAC.

Appointments and re-appointments to CASAC

Mr Richard St John has been Convenor of CASAC since 1997. He is Group General

Counsel, The Broken Hill Proprietary Company Limited, a board member of the Institute of

Public Affairs, and a member of the Victorian Regional Liaison Committee, Australian

Securities and Investments Commission.

Professor Philip Brown

is KPMG Peat Marwick Professor of Accounting at the

University of Western Australia. He has been a member of CASAC since 1995.

Ms Patricia Cross

has been a member of CASAC since 1997. She is a director

of Suncorp-Metway Bank Limited, Georges Melbourne Pty Ltd, and RMIT University, and a

member of the National Board of Governors of the American Chamber of Commerce in

Australia.

Mr Peter Griffin

, of Melbourne, has been a member of CASAC since 1997. He

is a director of N M Rothschild & Sons (Aust) Pty Ltd, Chairman of The Five

Arrows Fund Ltd, and a director of Computershare Ltd, Just Jeans Holdings Ltd, Grand Hotel

Group, and Roche Bros Pty Ltd.

Mr Gregory Hancock

is Managing Director, Hancock Corporate and Investment

Services Pty Ltd, and a member of the Western Australia Regional Liaison Committee,

Australian Securities and Investments Commission. He has been a member of CASAC since

1997.

Mr Robert Hudson

is Managing Partner, Deloitte Touche Tohmatsu, Darwin and

has been a member of CASAC since 1997.

Ms Merran Kelsall

is a consultant with BDO Nelson Parkhill, Melbourne. She

is a director of Colonial Ltd, City Wide Service Solutions Pty Ltd, and Transmission

Pipelines of Australia Group Pty Ltd, and Deputy Chairman, North Western Health Care

Network. Other positions include Chairman of the Audit Committee of the Australian

Securities and Investments Commission, Council Member of the Institute of Chartered

Accountants in Australia (Victoria), and President of the Australian Institute of

Management, Victoria.

Mr John Maslen

has been a member of CASAC since 1997. He is Company

Secretary and Chief Executive Administration, G H Michell & Sons (Australia)

Pty Ltd, Adelaide.

Mrs Marian Micalizzi

is a Partner of PricewaterhouseCoopers, Brisbane. She

is a director of the Queensland Office of Financial Supervision, Queensland Investment

Corporation, and the Australian Financial Institutions Commission.

Re-appointments to the Legal Sub-Committee of CASAC

Associate Professor Jennifer Hill

has been a member of the Legal Sub-Committee

since 1995. She teaches law at the University of Sydney.

Mr Peter James

, also a member of the Legal Sub-Committee since 1995, is a

consultant with Ward Keller, Darwin.
